Terms and Conditions of Sale, Delivery and Warranty

Welcome to VBI Group (consisting of the companies: Vejstruprød Busimport ApS, VBI Minibus ApS, Busimport.dk ApS & I-Bus ApS), hereinafter referred to as VBI.

VBI deals with new and used buses, import and export of buses, construction of minibuses, and sells spare parts as well as perform service and repairs on buses. By purchasing from us, you, as a customer, accept the terms and conditions stated below.
Please note that VBI reserves the right to amend these terms for future transactions at any time and at its sole discretion. You are therefore encouraged to review the terms regularly.

1. Scope and Validity

These terms and conditions of sale, delivery and warranty apply to all transactions, including offers, sales and deliveries from VBI to B2B customers, unless otherwise agreed in writing. The customer accepts the terms upon placing an order or entering into an agreement.

 

2. Offers and Orders

Offers are valid for 14 days and all prices are exclusive of VAT, duties and delivery costs unless otherwise stated.

All offers, documents and drawings, including service drawings etc. provided to customers, remain the property of VBI and may not be copied or disclosed to third parties without our written consent. “Third parties” refers to all persons other than the customer and its employees.

If a purchase is cancelled or changed, VBI reserves the right to recover any costs or losses incurred by the company.

 

3. Delivery and Transfer of Risk

Delivery is Ex Works (EXW), unless otherwise agreed in writing.

Any delivery times stated in the order confirmation are indicative only. We reserve the right to make changes unless otherwise agreed in writing. We do our utmost to meet agreed delivery times but cannot be held liable for delays.

Ownership of a product or vehicle remains with VBI until full payment has been received. The risk transfers to the customer upon delivery.

If a customer fails to collect a vehicle as agreed, it will be stored at the customer’s own cost and risk.

 

4. Payment

Payment for vehicles is due in full upon delivery unless otherwise agreed in writing.

The purchase price may not be withheld as security for claims related to other deliveries, nor may payment be made by set-off. Doing so constitutes a material breach of contract.

If the customer chooses to use a financing offer, the financing company’s own terms always apply—including provisions on credit assessment, withdrawal rights, fees and other costs.

For workshop work and the purchase of spare parts, the payment terms are 14 days net unless otherwise agreed.

If a product has been incorrectly priced due to an obvious error—e.g. if the price is significantly lower than normal—we reserve the right to cancel the order. We will, of course, contact the customer as soon as possible in such cases.

If a product is sold out or cannot be delivered as expected, we will inform the customer as soon as possible and find a suitable solution.

 

5. Trade-In Vehicles

If a trade-in vehicle is included in the transaction, the customer must disclose in writing any significant defects or faults, both technical and cosmetic. If a used vehicle agreed as a trade-in is no longer in the same condition as when the agreement was made, VBI may reject it and instead require cash payment. The same applies if the vehicle has significant defects or faults.

The customer guarantees that they are the rightful owner of the trade-in vehicle and that it can be delivered free of any liens, debt, encumbrances, attachments or other third-party rights. Should it be discovered that the trade-in vehicle is subject to financial obligations or ownership restrictions not disclosed in writing, VBI reserves the right to adjust the transaction or cancel the agreement. No rights may be registered in the Danish Vehicle Register at the time of delivery to VBI.

Any taxes or fees, such as ownership tax, must be paid by the customer up to the date of delivery.

 

6. Bodywork and Modifications

When purchasing a converted minibus, the specifications must be agreed in writing prior to commencement. Changes after placing the order may incur additional costs and extend the delivery time.

The customer is responsible for approving the specifications prior to ordering and ensuring that the vehicle complies with applicable and future legal requirements for its intended use. The seller is not liable for changes in regulations or requirements occurring after delivery.

The customer may not share, use or allow others to use VBI’s information or trade secrets unless such information is publicly available.

VBI accepts no responsibility for whether the delivered products may legally be used for the customer’s intended purpose.

 

7. Spare Parts & Workshop Work

VBI offers a wide range of spare parts. It is the customer's responsibility to ensure that the parts fit the bus. Sales of spare parts are made without responsibility for correct installation or compatibility unless otherwise agreed in writing. Complaints regarding defects in spare parts must be submitted no later than 8 days after receipt.

Vehicles delivered for repair, service or similar outside business hours remain at the customer’s own risk. The workshop assumes no responsibility for personal belongings left in a vehicle.

When selling used spare parts, VBI assumes no responsibility for any defects, faults or prior usage (wear, load or damage that occurred during previous use)—unless otherwise agreed in writing.

 

8. Complaints and Warranty

New vehicles:

VBI provides a 2-year warranty on new vehicles converted into minibuses.

For base vehicles, the manufacturer’s warranty terms apply.

Complaints cover only manufacturing defects and not wear, damage caused by incorrect use, incorrect installation, inadequate maintenance, lack of service, or unauthorized modifications.

If defects or faults are discovered, the customer must contact VBI before repairs or other corrective work is carried out. Costs will only be covered if an agreement has been made in advance.

 

Used vehicles:

For used vehicles sold “Ex Works” (EXW), no warranty or right of complaint is provided unless otherwise agreed in writing.

 

Spare parts:

The customer must inspect the goods upon receipt. Visible damage must be reported immediately. Complaints must be made as soon as the defect is discovered.

Returns are only accepted by prior agreement and credited with a deduction of 10%. Special orders and goods cut to length are non-returnable.

Spare parts are supplied with the manufacturer’s warranty (typically 12–24 months). The warranty only covers material or manufacturing defects.

It does not cover:

• Defects caused by incorrect installation, inadequate maintenance or misuse

• Wear parts (e.g. brake pads, filters, bulbs)

• Damage caused by other components or external factors

 

9. Returns

Returns are only accepted with prior written agreement.

Built or custom-manufactured vehicles are non-returnable.

Spare parts may only be returned undamaged, in unopened packaging and in original condition.

 

10. Force Majeure

VBI cannot be held liable for delays or failure to fulfil obligations where this is due to circumstances beyond the company’s control—such as war, natural disasters, strikes, pandemics, fire, import/export restrictions, machine breakdown, confiscation, or supply issues with subcontractors.

 

11. Limitation of Liability

VBI is not liable for loss of profit, operational losses, loss of earnings or any other indirect losses. The total liability can never exceed the invoiced amount for the delivered product or service.

VBI is only liable for damage caused by a sold product if it can be documented that the damage is due to an error committed by VBI or its employees.

We reserve the right that information in catalogues, brochures or registration documents may differ from the final product. VBI cannot be held liable for such discrepancies.

 

12. Data Protection

VBI collects and processes personal data about the customer, including name, address, email and telephone number. The information is used in accordance with applicable regulations for relevant business transactions and fulfilment of warranty obligations, etc.

 

13. Governing Law and Venue

Any dispute shall be settled under Danish law, excluding CISG, at the court in Kolding, unless otherwise agreed. If documents exist in both Danish and foreign languages, the Danish version shall prevail.
